RC Law Advises SAMY on Its Acquisition of U.S. Social-First Agency Get Engaged

 

RC Law acted as U.S. legal counsel to SAMY, the global social-first marketing agency, on its acquisition of Get Engaged. Get Engaged is a leading U.S. agency specializing in creators, talent, entertainment and culture. 

Founded in 2016 and headquartered in Atlanta, Get Engaged has more than 120 employees across Atlanta, New York, Nashville and Los Angeles.

The acquisition expands SAMY’s scale and capabilities in the United States, and it is the latest step in the agency’s strategy to grow in the U.S. through both organic growth and acquisitions.

Get Engaged will retain its founders, leadership and culture. The transaction is supported by Bridgepoint, which became SAMY’s majority shareholder in 2025.

RC Law Advises Hawthorne Valley Association on a Pro Bono Basis in the Stewardship of Otto’s Market in Germantown, New York

 

RC Law served as pro bono legal counsel to Hawthorne Valley Association (HVA) in structuring the stewardship of Otto’s Market and establishing Hawthorne Valley Ventures LLC as the entity through which HVA will steward the Germantown market.

We advised on the formation and governance of the subsidiary and related corporate matters, assessed tax considerations to help preserve HVA’s tax-exempt status, and advised on contractual and commercial arrangements between the entities, including an intercompany services agreement.

Hawthorne Valley took possession of Otto’s Market on October 1, 2026, ahead of the store’s centennial in 2027. Based in Ghent, New York, HVA is a nonprofit encompassing a farm, a school, and a store. Under HVA’s stewardship, Otto’s, which has served Germantown since 1927, is expected to retain its neighborhood character while gaining access to Hawthorne Valley’s network of more than 200 local and regional farms, growers, and makers.

RC Law Advises Grupo Hotusa/Eurostars Hotels on the Acquisition of The Chemists’ Club Hotel in New York, NY

RC Law acted as legal counsel to Grupo Hotusa, through its Eurostars Hotel Company brand, in connection with the acquisition of The Chemists’ Club Hotel, a 107-key, four-star boutique hotel located in Midtown Manhattan, New York.

The transaction marks the return of The Chemists’ Club Hotel to Eurostars, having previously formed part of the company’s portfolio from 2007 to 2016. With this acquisition, Eurostars now operates seven hotels in the United States, with a presence in New York, Boston, Chicago, Miami, and Washington, D.C.

This is the fourth U.S. hotel acquisition in which RC Law has advised Grupo Hotusa, following the acquisitions of Eurostars Winter Haven in Miami Beach, Eurostars The Boxer in Boston, and Eurostars St. Gregory Dupont Circle Georgetown in Washington, D.C. We are proud to continue supporting Grupo Hotusa/Eurostars Hotels as they expand their presence in the United States and appreciate their continued trust in RC Law.

RC Law LLP Advises IRIS Ventures on Cross-Border Venture Capital Investment.

RC Law LLP acted as U.S. legal counsel to IRIS Ventures, a Spanish growth equity firm investing in purpose-driven consumer and lifestyle brands.  The firm advised IRIS on its recent multi-million-dollar investment in Goddess Maintenance Company, a U.S. science-led beauty brand at the forefront of the bioprotection category.

The transaction was led by Counsel Ignacio C. Furfaro, with support from associates Luis Basavilbaso and Tamara Galeote.  Taft Law acted as counsel to the issuer.
